By accessing or using Prospi ("the Service", "Platform"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms. If you do not agree to these Terms, you may not use the Service.

These Terms constitute a legally binding agreement between you ("User", "you", "your") and Prospi ("Company", "we", "us", "our"), the operator of prospi.ai. Your continued use of the Platform after any modifications to these Terms constitutes your acceptance of the updated Terms.

Each subscription entitles one business entity to use the Platform. Sub-users may be added as permitted by your plan tier. You are responsible for ensuring all sub-users comply with these Terms.

Prospi is designed for professional B2B outreach. You agree to use the Platform only for lawful purposes and in compliance with all applicable laws and regulations, including but not limited to:

Violation of this Acceptable Use Policy may result in immediate account suspension without refund. We reserve the right to monitor usage patterns to enforce compliance.

Credit-Based Pricing

The Platform operates on a credit system. Credits are consumed when you access leads from the database, run email verification, or use certain AI features as specified in your plan documentation. Credit allocations are reset on your monthly billing date. Unused credits do not roll over to the next billing period unless your plan explicitly states otherwise.

Subscriptions

Subscriptions are billed on a recurring monthly or annual basis, depending on the plan you select. Annual plans are discounted and billed upfront for the full year. Subscription fees are non-refundable except as required by applicable law or as described in our refund policy.

Payment Processing

All payments are processed securely by Stripe, Inc. By providing payment information, you authorize Stripe to charge the applicable fees to your payment method. Your payment information is stored and processed by Stripe in accordance with their privacy policy. We do not store full credit card numbers on our servers.

Price Changes

We reserve the right to modify subscription prices with at least 30 days' advance notice via email or in-app notification. Continued use of the Service after a price change takes effect constitutes acceptance of the new pricing.

Failed Payments

If a payment fails, we will attempt to collect payment up to three times over seven days. If payment cannot be collected, your account may be downgraded or suspended until the balance is resolved.

Free Trials

We may offer free trial periods at our discretion. At the end of a free trial, your account will automatically convert to a paid subscription unless you cancel before the trial ends. Credit card information may be required to start a trial.

Data Sources

The Prospi lead database contains B2B contact information compiled from public sources, data partnerships, and web indexing. Contact records include professional email addresses, job titles, company information, and firmographic data relevant to B2B outreach.

Data Accuracy

We make reasonable efforts to maintain the accuracy and freshness of our database, including ongoing email verification and data enrichment processes. However, we do not guarantee that any specific record is accurate, current, or that any given email address is deliverable. You acknowledge that B2B contact data changes frequently and assume responsibility for verification as appropriate for your use case.

Permitted Use of Lead Data

Credits you consume to access leads grant you a limited, non-exclusive license to use that contact data for professional B2B outreach purposes within the Platform. You may export lead data to use in external tools subject to the following restrictions:

Responsibility for Outreach

You are solely responsible for the content of any emails sent using the Platform and for ensuring your outreach activities comply with applicable law. We are a tool provider and are not a party to communications you send.

Prospi uses artificial intelligence to generate personalized email copy, subject lines, reply suggestions, and other content. You acknowledge and agree that:

We reserve the right to modify, improve, or discontinue AI features at any time. AI models and outputs may change as we update our systems.

Agency customers with access to the Whitelabel program ("Whitelabel Partners") may rebrand and resell the Platform to their end clients. By participating in the Whitelabel program, you agree to:

Whitelabel Partners are responsible for providing first-line support to their end clients. End clients of Whitelabel Partners do not have a direct contractual relationship with Prospi. Prospi reserves the right to terminate the Whitelabel program for any partner who enables or fails to prevent material policy violations by their end clients.

Access to the Prospi API is available to qualifying subscribers. By using the API, you agree to:

We reserve the right to modify the API, its endpoints, and rate limits at any time. We will provide reasonable notice of breaking changes. We are not liable for any third-party integrations or automations that break as a result of API changes.

Webhook delivery is provided on a best-effort basis. We do not guarantee delivery of every webhook event, and you should implement appropriate retry and reconciliation logic in your integrations.

Our Property

The Platform, including its software, algorithms, AI models, design, database structure, documentation, and all content we produce, is owned by Prospi and protected by copyright, trademark, trade secret, and other intellectual property laws. These Terms do not grant you any rights to our intellectual property except the limited license to use the Service as described herein.

Your Content

You retain ownership of any content you upload, input, or create through the Platform, including email templates, custom sequences, and prospect notes. By using the Platform, you grant us a limited, non-exclusive license to process, store, and use your content solely to provide the Service to you.

Feedback

If you provide us with feedback, suggestions, or ideas about the Platform, you grant us an irrevocable, royalty-free, worldwide license to use that feedback in any way, including incorporating it into the Platform or other products, without any obligation to compensate you.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED OR ERROR-FREE SERVICE.

WE DO NOT WARRANT THAT: (A) THE SERVICE WILL MEET YOUR REQUIREMENTS; (B) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (C) ANY DATA OBTAINED THROUGH THE SERVICE WILL BE ACCURATE OR RELIABLE; OR (D) ANY ERRORS IN THE SERVICE WILL BE CORRECTED.

IN NO EVENT SHALL PROSPI, ITS OFFICERS, DIRECTORS, EMPLOYEES, PARTNERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNTS PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so some of the above limitations may not apply to you.

You agree to indemnify, defend, and hold harmless Prospi and its officers, directors, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

Termination by You

You may cancel your subscription at any time through your account settings or by contacting support@prospi.ai. Upon cancellation, your subscription will remain active until the end of the current billing period. No refunds are issued for partial periods except where required by law.

Termination by Us

We may suspend or terminate your account immediately without notice if:

Effect of Termination

Upon termination, your right to access and use the Service immediately ceases. We may delete your account data after a reasonable retention period as described in our Privacy Policy. Any outstanding payment obligations survive termination.

We reserve the right to modify these Terms at any time. We will provide notice of material changes by:

Changes become effective 14 days after notice is given, or immediately for changes required by law. If you object to any changes, your sole remedy is to stop using the Service and cancel your subscription before the changes take effect. Continued use of the Service after changes take effect constitutes your acceptance of the revised Terms.

These Terms and any dispute arising from them are governed by the laws of the State of Wyoming, United States, without regard to its conflict of law provisions.

Any dispute that cannot be resolved informally shall be submitted to binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Wyoming. The prevailing party shall be entitled to recover reasonable attorneys' fees.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect intellectual property rights or confidential information.

You waive any right to participate in a class action lawsuit or class-wide arbitration.

Entire Agreement: These Terms, together with our Privacy Policy and any additional agreements you enter into with us, constitute the entire agreement between you and Prospi regarding the Service.

Severability: If any provision of these Terms is found to be unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

No Waiver: Our failure to enforce any provision of these Terms shall not be construed as a waiver of our right to enforce it in the future.

Assignment: You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may freely assign these Terms, including in connection with a merger, acquisition, or sale of assets.

Force Majeure: We are not liable for any failure or delay in performance caused by circumstances beyond our reasonable control, including natural disasters, internet outages, or third-party service failures.
